Colitis Compass — End-User License Agreement

Please read this agreement carefully before purchasing or using Colitis Compass. By completing a purchase, by checking the acceptance box at checkout, or by opening and using the file, you agree to be bound by this agreement. If you do not agree, do not purchase or use the Product.
1. Parties and definitions
- "Licensor" means Xavier Pingenot, an individual residing in Brumath, France, contact: hello@colitiscompass.com.
- "Licensee" or "you" means the health professional, practice, clinic, or organization that purchases this license.
- "Product" means the file named "Colitis Compass" (a self-contained HTML file) and all of its content: text, food guide, evidence levels, lab-marker cards, treatment-class cards, research digest, warnings, design, and code, in the version delivered to the Licensee.
- "Patient" means an individual under the Licensee's professional care who receives a copy of the Product from the Licensee.
The Product is an original work protected by copyright law, including the French Intellectual Property Code and the United States Copyright Act, and by international treaties. The Licensor retains all right, title, and interest in the Product. The Product is licensed, not sold. Nothing in this agreement transfers ownership.
2. License grant
Upon payment of the license fee, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable, perpetual license for the delivered version, to:
a) install and use the Product on any number of devices used in the Licensee's professional practice; b) provide one copy of the Product to each Patient under the Licensee's care, without limit on the number of Patients; c) print excerpts of the Product for those Patients.
A Patient who receives a copy may use it for their own personal, non-commercial purposes and may store their own entries in it. The Patient acquires no right to redistribute the Product. The Licensee agrees to inform Patients that the Product is provided under these terms and that the "How to use this" tab of the Product contains the terms of use that apply to them.
For an organization (clinic, hospital department, patient association), the license covers the practitioners of a single site or program named at purchase. Additional sites or programs require additional licenses.
3. Restrictions
Except with the Licensor's prior written consent, the Licensee shall not:
a) sell, rent, lease, lend, assign, or sublicense the Product, in whole or in part; b) distribute the Product to anyone other than Patients under the Licensee's care, or post it on any website, social network, shared drive, app store, or other location accessible to the public or to persons outside the Licensee's practice; c) modify, remove, or add clinical content: food guide entries, evidence levels, lab-marker cards, treatment-class cards, research entries, warnings, or terms of use; d) remove or alter the copyright notice, the header comment, the footer, or the reference to this agreement; e) present the Product as the Licensee's own work, as a medical device, or as having been reviewed or endorsed by any regulatory body; f) use the Product's content to train, fine-tune, or evaluate a machine-learning model, or extract its content into a database or another product.
Renaming the "Anecdotal" evidence level to the name of the Licensee's own program is possible with the Licensor's written consent, on the condition that the three evidence levels remain distinct and that the header warning, the "How to use this" tab, and the treatment-class content are kept in full.
4. Term, updates, and support
The license is granted for an unlimited term on the delivered version. The version number appears in the Product's footer.
The license covers the delivered version only. The Licensor has no obligation to provide updates, maintenance, or support. The Licensor may, at their sole discretion, offer updated versions for a fee or at no charge. Any updated version delivered to the Licensee is covered by this agreement unless it comes with different terms.
5. Nature of the Product; medical disclaimer
The Product is an educational and organizational tool created by a patient who is a French state-registered nurse. It is not medical advice, medical care, or a clinical service, and it does not create a patient–provider relationship. It is intended to complement, never to replace, the judgment of a licensed health professional.
The Product is not a medical device. It has not been reviewed, cleared, or approved by the U.S. Food and Drug Administration or any other regulatory authority. It is not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition. Reference ranges shown in the Product are typical published ranges provided for educational purposes; the ranges printed on a patient's own laboratory report take precedence. The Product does not interpret laboratory results and does not recommend any medication.
The Licensee remains solely responsible for the advice given to Patients and for the way the Product is used in the Licensee's practice, including compliance with the standards, licensing rules, and scope-of-practice rules of the Licensee's profession and state. The Licensor does not warrant that the content is complete, current, or suitable for any particular patient.
6. Data and privacy
The Product does not collect, transmit, or store any information outside the device on which it is opened. It contains no account, no server, no analytics, no tracking, and no network connection. Values entered by a Patient remain in the copy that the Patient saves.
Because the Licensor never receives, stores, or has access to any patient information, the Licensor is not a "covered entity" or "business associate" under HIPAA, and no business associate agreement is required or offered. If the Licensee keeps copies of the Product containing patient information, the Licensee is solely responsible for safeguarding them under HIPAA, applicable state law, and the Licensee's own policies.
7. Price and payment
The license fee is the price displayed at the time of purchase, in U.S. dollars, one-time payment. Purchases are processed by a third-party merchant of record whose own terms govern payment, taxes, invoicing, and refunds. The license takes effect upon confirmation of payment. Because the Product is a digital file delivered immediately, refunds are available only if the file cannot be opened on a current version of a major web browser and the Licensor is unable to remedy that within 14 days of notification.
8. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. THE LICENSOR DOES NOT WARRANT THAT THE PRODUCT WILL MEET THE LICENSEE'S REQUIREMENTS, THAT ITS CONTENT IS ERROR-FREE OR UP TO DATE, OR THAT IT WILL PRODUCE ANY PARTICULAR HEALTH OUTCOME. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
9. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR ANY PERSONAL INJURY OR HEALTH OUTCOME, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE PRODUCT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LICENSOR'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE LICENSE FEE ACTUALLY PAID BY THE LICENSEE. THE PARTIES AGREE THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN AND THAT THE LICENSE FEE REFLECTS THEM.
10. Indemnification
The Licensee agrees to defend, indemnify, and hold harmless the Licensor from any claim, loss, or expense (including reasonable attorneys' fees) arising from the Licensee's professional advice to Patients, the Licensee's use of the Product in violation of this agreement, or the Licensee's violation of any law or professional rule.
11. Termination
This agreement terminates automatically if the Licensee breaches Sections 3 or 5. The Licensor may also terminate it by written notice upon any other material breach not cured within 30 days. Upon termination, the Licensee shall stop all use and distribution of the Product and destroy the copies in the Licensee's possession. Copies already provided to Patients are not affected. Sections 1, 3, 5, 6, 8, 9, 10, and 12 survive termination.
12. Governing law and disputes
This agreement is governed by the laws of France, without regard to its conflict-of-law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties shall first attempt in good faith to resolve any dispute amicably within 60 days of written notice. Failing that, any dispute shall be brought exclusively before the competent courts of Strasbourg, France, and the Licensee consents to their jurisdiction. Nothing in this section prevents either party from seeking injunctive relief to protect intellectual property in any court of competent jurisdiction.
13. General
This agreement is the entire agreement between the parties regarding the Product and supersedes any prior discussion. If any provision is held unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions shall remain in effect. The Licensor's failure to enforce a provision is not a waiver. The Licensee may not assign this agreement without the Licensor's written consent. Notices to the Licensor shall be sent to hello@colitiscompass.com; notices to the Licensee shall be sent to the e-mail address used at purchase. This agreement is written in English; any translation is for convenience only.
Colitis Compass is created by Xavier Pingenot, a French state-registered nurse living with ulcerative colitis. This license was drafted without review by an attorney; it reflects the author's good-faith effort to state clear and fair terms.
